Terms and Conditions – Homediq Europe B.V. (B2B)

1. Definitions
In these Terms and Conditions, the following terms have the meaning set out below:
Business Customer: a company or organization purchasing products and/or services from Homediq via professionals.homediq.com.
Product: a test kit provided by Homediq for use by an end user.
Services: all additional logistical, laboratory, and informational services related to the delivery and analysis of the Product.
End User: the natural person to whom the Business Customer provides the test kit for personal use.
Order: any order placed by the Business Customer for the purchase of Products and/or Services.
Website: professionals.homediq.com or any associated subdomain.
Data Processing Agreement: a separate agreement concerning the processing of personal data, if required under the GDPR.
2. Applicability and Business Use
These Terms and Conditions apply exclusively to transactions between Homediq and business customers. The Business Customer declares to act on behalf of a legal entity. Consumers may not use this website or order under these terms. Consumer orders are subject to the terms published on homediq.com.
3. Order Placement and Acceptance
All offers on the website are non-binding. A contract is only concluded once Homediq has explicitly confirmed the Business Customer’s order in writing, for example by sending an order confirmation or invoice. Homediq reserves the right to refuse orders without providing a reason. The Business Customer is responsible for providing correct and complete company and shipping information.
4. Prices, Payment, and VAT
All prices are exclusive of VAT unless otherwise stated. Deliveries within the Netherlands are subject to Dutch VAT. For deliveries within the EU, reverse charge may apply if a valid VAT number is provided.
Payment may be made in advance by iDEAL, credit card, or direct debit. If agreed upon, payment by invoice is possible with a 14-day payment term. In case of late payment, Homediq reserves the right to suspend further deliveries and charge statutory interest and collection costs.
5. Delivery and Risk Transfer
Products are delivered in bulk to the shipping address provided by the Business Customer. Homediq aims to dispatch the Products within 3–5 working days following order confirmation, unless otherwise agreed.
The risk of damage or loss transfers to the Business Customer upon delivery. Complaints regarding damage or missing items must be reported in writing to info@homediq.com within 7 days of receipt.
6. Use of Products and Instructions
The Business Customer is responsible for the proper distribution, explanation, and instruction to the end user. Original packaging may not be altered without written consent from Homediq. Homed-IQ is not liable for incorrect use or transport damage occurring after delivery. Test kits must be used in accordance with the included instructions.
7. Responsibilities and Liability
The Business Customer indemnifies Homediq from any third-party claims, including those from end users, arising from misuse, incorrect distribution, or breach of instructions. Homed-IQ’s liability is in all cases limited to the value of the affected order.
In the event of faulty or incorrectly delivered products, Homediq will, in consultation with the Business Customer, either replace the product free of charge or offer appropriate compensation.
8. Privacy and Data Protection
If personal data is processed, it shall be in accordance with the General Data Protection Regulation (GDPR). A data processing agreement will be drafted at the request of either party.
The Business Customer is responsible for properly informing the end user and obtaining any necessary consents. Homediq acts as a data processor only where applicable.
9. Support and Complaint Handling
Homed-IQ provides support to the Business Customer and, where agreed, also directly to end users regarding the use of test kits or interpretation of results. Responsibility for complaints will be assigned in consultation. For complaints related to distribution or communication performed by the Business Customer, that party is responsible.
10. Duration and Termination
A standard agreement with a Business Customer has a term of one year, unless otherwise agreed. Early termination is possible with a notice period of 90 days. Homed-IQ reserves the right to terminate the agreement immediately in cases of breach of contract, fraud, or non-compliance with these terms.
11. Intellectual Property
All trademarks, logos, texts, packaging, and instructions provided or used by Homediq remain the intellectual property of Homediq. The Business Customer may not reproduce, modify, or commercially use this material without prior written permission.
12. Governing Law and Disputes
These Terms and Conditions are governed exclusively by Dutch law. Any disputes arising from or relating to this agreement shall be submitted to the competent court in Amsterdam.
13. Miscellaneous
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Homed-IQ reserves the right to amend these terms at any time. Amended terms will be communicated at least 30 days prior to taking effect via email or the website.
